Welcome to the midan. These terms are the house rules for using Midan Shady Sphere ("the club", "we", "us"), operated by Shady Elsayed. By creating an account or using the site, you agree to them. If you don't agree, please don't use the club.

1. Who can join

  • You must be 16 or older. We do not enroll anyone under 16, including children under 13.
  • Give us accurate information, keep your password private, and use one account per person. A household family seat, where offered, is for one additional person in your home.
  • You're responsible for what happens on your account. Tell us right away if you think someone else is using it.

2. Membership, free trial, and billing

  • Price: the club is $15 per month or $150 per year (U.S. dollars), plus any tax that applies.
  • Free trial: new members get a 3-day free trial. You add a card through Stripe to start it. If you don't cancel before the trial ends, your membership starts and your card is charged for the plan you chose.
  • Automatic renewal: your membership renews automatically at the end of each month or year, and your card is charged the then-current price, until you cancel.
  • Cancelling: you can cancel any time from Billing (through Stripe's billing portal). If you cancel during the trial, you won't be charged. If you cancel after that, your membership stays active until the end of the period you've paid for and then stops; it won't renew.
  • Price changes: if we change the price, we'll tell you ahead of time, and the new price applies from your next renewal. You can cancel before then.
  • Payments are processed by Stripe under Stripe's own terms. We never see your full card number.

3. Refunds

  • The 3-day free trial is your chance to try the club. Cancel before it ends and you won't be charged at all.
  • No refunds after the trial. Once a monthly or annual payment goes through, it isn't refundable, and we don't give refunds or credits for partly used months or years, except where the law requires it.
  • Cancel anytime to stop renewal. Cancelling in Billing stops the next charge. Your access continues until the end of the period you've already paid for.
  • Mistakes on our side: if you're charged in error (for example a double charge, or a renewal after you cancelled in time), email midanshady@gmail.com and we'll fix it.

If a paid Challenge bracket weekend is cancelled, your entry is credited or refunded.

If a paid Micro-gig notice is cancelled before anyone takes it, or closes unclaimed after 14 days, the band comes back to you as Midan credit. Where we offer it, you may choose a refund to your card instead.

4. Add-ons

Some extras are sold separately, at the prices shown when you buy them. Today that includes:

  • Extra Tutor minute packs (60 minutes for $8, 180 minutes for $20).
  • The Money Path Pass ($25, one time), which unlocks Shady Desk Money lessons 7–15 on your account for as long as it exists. It is not a subscription.
  • Member Exchange Pass and 7-day pins, Support Local 30-day boosts, Challenge bracket entries, and Micro-gig postings at $5, $10, or $25. A Micro-gig band is a payment to the club for the posting. It is not escrow, not a wage, and not a payout to another member.

Micro-gigs and Midan credit. On Micro-gigs, members commission small cultural favors from each other (a bilingual caption, a recipe card, a playlist, menu photos). Members take part as club members trading favors, not as employees or contractors of Midan or of each other. When the poster accepts a delivery (or doesn't answer within 72 hours), the member who did the work earns Midan credit: 30 Tutor minutes for a $5 band, 60 for $10, 180 for $25. The Midan desk accepts deliveries on its own notices. Midan credit:

  • has no cash value and can't be cashed out, sold, transferred, or exchanged for money;
  • is added to your Tutor minutes, is used after your included minutes, and doesn't expire while your account is open;
  • ends when your account is deleted, and may be removed if it was earned through fake accounts, copied work, or abuse.

Briefs and deliveries must stay on Midan: no phone numbers, emails, messaging apps, or social handles, and no off-platform payment. Never meet another member in person for a commission. Menu photo runs happen in person, so they're open only to members 18 or older (by the date of birth on your account), in public during business hours, at a business that has agreed to photos. Every other board is open to all members 16+. Claims with no delivery reopen after 72 hours. You can report any notice, and the Midan desk may hide or remove it.

Your membership includes 120 Tutor minutes a month. Included Tutor minutes refill each month while your membership is active, on the monthly anniversary of your billing date (annual plans too), and unused included minutes don't roll over. Your free trial shares your first month's minutes; it doesn't add a second allowance. Purchased minute packs are kept separately, are used only after your included minutes run out, and do not expire. Your balances and next refill date are shown on Billing. Unused minutes have no cash value and aren't refundable.

5. Referral codes

  • A member code takes $3 off the monthly club or $10 off the annual club, applied as a Stripe discount at checkout. The discount stays on that membership at every renewal for as long as the subscription stays active; it ends if the membership is cancelled and doesn't carry over to a new one.
  • Each new member can use one code once. Codes have no cash value and can't be sold or traded.
  • We may change or end the referral program, and we may cancel discounts gained through fake accounts or abuse.

6. Tutor and the AI coaches

  • Tutor is for learning. The coaches explain, ask questions, and help you practice. They can be wrong, so check important answers.
  • The coaches are AI. Each coach (Nour, Imani, Karim, Zain, Emma, James, Marcus, Mei, Sofia) is an AI persona with an AI-generated portrait. They are not real people and not human tutors.
  • No ghostwriting. Tutor will coach your draft, but it won't write your paper, do your homework, or translate graded work for you. You're responsible for following your school's or employer's academic-integrity rules.
  • Not professional advice. Tutor, including health and economics lessons, is general education. It is not medical, legal, financial, tax, or mental-health advice. In an emergency, contact local emergency services.
  • Don't share sensitive personal information (health details, ID numbers, passwords) in chats. See the Privacy Policy for how chats are handled.

7. Money lessons and market information

Shady Desk Money lessons and Pulse are financial literacy, not financial or investment advice. We don't tell anyone to buy or sell anything. Market quotes may be delayed or sample data, and headlines link to their publishers. Make your own decisions, and talk to a licensed professional if you need advice.

8. What you post

  • You own what you create. When you post in the club (Showcase, Journal, Member Exchange, Micro-gigs, Midan Fusion, Support Local, and other rooms), you give us a non-exclusive, worldwide, royalty-free permission to host, store, display, and share it inside the club so the room works. This permission ends when you delete it or your account, except where others have already saved or quoted it, or where we must keep a copy by law.
  • Only post what you have the right to. Midan Fusion and Showcase store links and captions; only link to performances, music, and work you're allowed to share.
  • House rules. Be kind and keep it Soft Midan. No harassment, hate, threats, or bullying; no sexual content; nothing illegal; no sharing other people's private information; no spam, scams, or impersonation; no homework dumps or requests to have someone else do graded work; no pirated content.
  • We may remove content or limit accounts that break these rules. To report something, email us.

9. The demo

The demo account is shared so anyone can look around. Nothing you do there is saved, and Tutor replies are capped. Don't put personal information in the demo.

10. Our content

The club's design, text, lessons, games (including Habibi Dash art), coach personas, and brand belong to Midan Shady Sphere or its licensors. You may use them for your own personal learning and play inside the club. Don't copy, resell, scrape, or reverse-engineer them, or use bots to access the site.

11. Links to other sites

The club links to outside sites (news publishers, video links members share, Stripe). We're not responsible for their content or policies.

12. Ending your account

You can stop using the club and ask us to delete your account any time. We may suspend or close an account that breaks these terms, puts others at risk, or doesn't pay, and we'll tell you when we reasonably can. Sections that by their nature should continue (such as payments owed, content permissions already used, disclaimers, and limits of liability) survive.

13. Disclaimers

We work hard to keep the club running well, but it's provided "as is" and "as available". To the extent the law allows, we don't promise it will always be available, error-free, or that AI answers will be accurate.

14. Limit of liability

To the extent the law allows, the club and its founder are not liable for indirect, incidental, special, or consequential damages, or for lost data or profits. Our total liability for any claim about the club is limited to the amount you paid us in the 12 months before the claim, or $50 if you haven't paid anything. Some places don't allow these limits, so they may not apply to you.

You agree to cover reasonable losses we face because you broke these terms or the law while using the club.

15. Governing law

These terms are governed by the laws of the State of New York, USA, without regard to conflict-of-law rules. Any dispute will be handled in the state or federal courts located in New York County, New York, unless the law where you live gives you the right to bring it elsewhere. Before filing anything, please email us so we can try to resolve it informally.

16. Changes to these terms

We may update these terms as the club grows. For meaningful changes, we'll update the date above and let members know on the site or by email before they take effect. Continuing to use the club after that means you accept the new terms.
